1. Definitions
- We / us / Blacklemur — Blacklemur Innovations, its team and authorised subcontractors.
- Client / you — the party engaging us to provide services.
- Proposal — the written scope, timeline and price we issue for a project, which these terms incorporate.
- Deliverables — the products (websites, designs, code, documents, campaigns) described in the Proposal.
2. Scope of services
We provide brand, web, software, ERP, AI, data and marketing services as described in each Proposal. Work outside the agreed scope is priced and agreed separately before we begin it, in writing. If a requirement becomes materially larger than the Proposal assumed, we will surface the change and its cost before continuing, rather than absorbing it silently.
3. Client responsibilities
Timely, reliable input is the difference between a project that ships and one that stalls. The client agrees to:
- provide requested content, feedback and decisions within the agreed review windows;
- supply accurate information about the business, its products and its requirements;
- ensure any third-party materials handed to us (images, documents, brand assets) may lawfully be used;
- provide access to systems and people needed to complete integrations and training; and
- pay invoices on the terms agreed in the Proposal.
Timelines assume responsive feedback; periods of no response may extend the schedule accordingly.
4. Timelines
Each Proposal states milestones or a target delivery date. Dates are estimates made in good faith and may shift for reasons outside our control — late client feedback, third-party dependencies, force majeure or changes in scope. We will tell you promptly when a date will move and why, and we hold ourselves to the same standard we expect from you.
5. Payments
Prices are quoted in USD unless stated otherwise and exclude applicable taxes. We typically invoice a deposit before work begins and the balance on agreed milestones; payment terms are stated in each Proposal. Work proceeds on the agreed schedule once payments are received. Late payments may pause progress until cleared, and interest or collections may apply on invoices overdue by more than thirty days, as permitted by law.
6. Intellectual property
Once full payment is received, the client owns the final deliverables created for the project — website code, designs, brand assets and original content. We retain ownership of our underlying tools, frameworks, libraries and pre-existing methods, which we licence to the client for use within the deliverables. We may not reuse client-confidential material, and any third-party software we use remains under its own licence terms, which we will flag where they matter.
We keep the right to use typical, non-confidential elements of completed work in our portfolio unless we agree otherwise in writing.
7. Warranties
We warrant that services are provided with reasonable skill and care, and that deliverables will conform to the agreed scope. For websites and software, we warrant that work we deliver performs as described for a period of thirty days from handover; defects reported within that window are corrected without additional charge. We do not warrant against misuse, unauthorised modification, third-party services or factors outside our control.
8. Liability
Nothing in these terms limits liability for fraud or for death or injury caused by negligence. Otherwise, to the fullest extent permitted by law, our total liability under any engagement is limited to the fees paid for the project in question, and we are not liable for indirect or consequential losses — including lost profits, lost data and business interruption. Where we maintain or host systems, we take reasonable backups and security measures, but we are not liable for data loss arising from causes outside our reasonable control.
9. Confidentiality
Both parties keep confidential information shared for the engagement — including pricing, internal systems and business plans — and use it only to perform the work. This obligation survives the end of the engagement. It does not apply to information that is public, independently developed or required to be disclosed by law.
10. Suspension and termination
Either party may terminate an engagement with written notice, subject to payment for work completed to the date of termination. We may suspend work where invoices are overdue or where the client materially breaches these terms. On termination, we deliver completed work in our possession, and the client pays for work performed to that point.
11. Law and disputes
These terms are governed by the laws of Zimbabwe. The parties will first attempt in good faith to resolve any dispute through negotiation within thirty days. Failing that, disputes are subject to the exclusive jurisdiction of the courts of Zimbabwe. Nothing prevents us from seeking injunctive relief to protect our intellectual property.
